Company Registration Requirements in Kenya
- At least 3 unique names to be searched and reserved, with the One Step business registration process, introduced and adopted by the Registrar of Companies in order of priority of registration.
- Main objectives of the company– which highlights the specific activities of the company.
- Identification documents of company officials– Copy of ID, Notarized Passport Bio Data section (Foreign directors), Recent coloured passport photo, Pin Certificate, Postal Address, Email, Mobile Number, Residential address for directors, the company’s physical address (Registered Address) and Notarized Certificate of Incorporation for Corporate shareholders.
- Total authorized nominal capital indicating shares issuable i.e. Kshs. 100,000, at 1000 share @Kshs 100.
- Memorandum and article of association– Depending on the company’s objective, the company can either prepare its own Memorandum and Article of Association or it can adopt the Model Memorandum (Form CR-2) and Model Articles of Associations provided by the Kenyan Act 2015.
Process of Company Registration in Kenya
- Name reservation and company particulars
This entails submitting at least three (3) proposed names of the company for search and clearance by the company registry. The officials at the registry establish the availability and desirability of the proposed name. If the name is available, it is reserved for a period of 30 days to facilitate registration of the company.
- Approval
Process the company registration forms for execution and lodging at the Companies Registry. The application undergoes a rigorous verification process by the officers at the Registrar of Companies.
- Timeline and Registration
The process takes approximately 5 working days and upon successful registration, the following documents shall be issued:
- Certificate of Incorporation.
- Form CR-12 (Contains all details of the company including the shareholding).
